1. Acceptance of Terms

Welcome to Scholaron. These Terms of Use ("Terms") govern your access to and use of the Scholaron website, applications, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services.

Scholaron reserves the right to modify these Terms at any time. We will provide notice of any material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Services after such modifications will constitute your acknowledgment and acceptance of the modified Terms.

2. Eligibility

You must be at least 13 years old to use our Services. If you are under 18, you represent that you have your parent or guardian's permission to use the Services and that they have read and agree to these Terms on your behalf.

By using our Services, you represent and warrant that:

  • You have the legal capacity to enter into these Terms;
  • You are not prohibited from using the Services under applicable law; and
  • You will use the Services in compliance with these Terms and all applicable laws and regulations.

3. Account Registration and Security

Some features of our Services require you to register for an account. When you register, you agree to provide accurate, current, and complete information and to update this information to maintain its accuracy.

You are responsible for:

  • Notifying us immediately of any unauthorized use of your account or any other breach of security.

We reserve the right to disable any user account if we believe you have violated these Terms or if we determine, in our sole discretion, that your account poses a security risk.

4. Intellectual Property Rights

4.1 Scholaron Content

The Services and their contents, features, and functionality, including but not limited to text, graphics, images, videos, software, and educational materials (collectively, "Scholaron Content"), are owned by Scholaron, its licensors, or other providers and are protected by copyright, trademark, patent, and other intellectual property laws.

4.2 License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services and Scholaron Content for your personal, non-commercial educational purposes. You may not:

  • Reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any Scholaron Content, except as permitted by these Terms;
  • Delete or alter any copyright, trademark, or other proprietary notices from any Scholaron Content;
  • Use any data mining, robots, or similar data gathering or extraction methods on the Services;
  • Use the Services or Scholaron Content in any way that violates any applicable law or regulation; or
  • Use the Services or Scholaron Content for the purpose of building a competitive product or service.

4.3 User Content

You retain ownership of any content you submit, post, or display on or through the Services ("User Content"). By submitting User Content, you grant Scholaron a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with providing and promoting the Services.

You represent and warrant that:

  • You own or have the necessary rights to your User Content;
  • Your User Content does not violate the privacy rights, publicity rights, copyright, contractual rights, or any other rights of any person or entity; and
  • Your User Content complies with these Terms and all applicable laws and regulations.

5. Prohibited Uses

You agree not to use the Services:

  • In any way that violates any applicable law or regulation;
  • To transmit any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable;
  • To impersonate or attempt to impersonate Scholaron, a Scholaron employee, another user, or any other person or entity;
  • To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services;
  • To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services, the server on which the Services are stored, or any server, computer, or database connected to the Services;
  • To attack the Services via a denial-of-service attack or a distributed denial-of-service attack;
  • To use the Services for any commercial solicitation purposes without our prior written consent;
  • To copy, adapt, modify, or reverse engineer any part of the Services; or
  • To use the Services in any manner that could disable, overburden, damage, or impair the Services or interfere with any other party's use of the Services.

6. Third-Party Content and Links

The Services may contain links to third-party websites, resources, or services that are not owned or controlled by Scholaron. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

You acknowledge and agree that Scholaron is not responsible or liable for:

  • The availability or accuracy of such websites or resources; or
  • The content, products, or services on or available from such websites or resources.

Links to such websites or resources do not imply any endorsement by Scholaron. You acknowledge sole responsibility for and assume all risk arising from your use of any such websites or resources.

7. Subscriptions and Payments

7.1 Subscription Services

Some of our Services may be available on a subscription basis. By subscribing to our Services, you agree to pay the applicable subscription fees as they become due.

7.2 Payment Terms

When you provide payment information, you represent and warrant that:

  • The information is accurate and you are authorized to use the payment method provided;
  • You will promptly update your account information with any changes; and
  • You authorize us to charge your payment method for the Services you have selected.

7.3 Automatic Renewal

Subscriptions automatically renew until canceled. You authorize us to charge your payment method for each renewal period unless you cancel your subscription before the renewal date.

7.4 Cancellation and Refunds

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation will take effect at the end of your current billing period. We do not provide refunds for partial subscription periods unless required by law.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, SCHOLARON DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

SCHOLARON DOES NOT WARRANT THAT:

  • THE SERVICES WILL MEET YOUR REQUIREMENTS;
  • THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
  • THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE; OR
  • ANY ERRORS IN THE SERVICES WILL BE CORRECTED.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SCHOLARON, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE THE SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

THIS LIMITATION OF LIABILITY APPLIES WHETHER THE DAMAGES ARISE FROM USE OR MISUSE OF THE SERVICES, FROM INABILITY TO USE THE SERVICES, OR FROM THE INTERRUPTION, SUSPENSION, OR TERMINATION OF THE SERVICES.

10. Indemnification

You agree to defend, indemnify, and hold harmless Scholaron, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms;
  • Your User Content;
  • Your use of the Services; or
  • Your violation of any rights of another.

11. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. If your account is terminated, we may delete any content or data associated with your account.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law and Jurisdiction

These Terms and your use of the Services shall be governed by and construed in accordance with the laws of the United States and the State of California, without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Services shall be instituted exclusively in the federal courts of the United States or the courts of the State of California, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country.

13. Dispute Resolution

Any dispute arising from these Terms or your use of the Services shall first be resolved through good-faith negotiations. If the dispute cannot be resolved through negotiation, it shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

Any arbitration shall take place in San Francisco, California, unless we both agree to conduct the arbitration by telephone or written submissions.

YOU AND SCHOLARON AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

14. General Terms

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Scholaron regarding your use of the Services and supersede all prior and contemporaneous written or oral agreements.

14.2 Waiver and Severability

No waiver by Scholaron of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Scholaron to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

14.3 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without Scholaron's prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and of no effect. Scholaron may assign or transfer these Terms, at its sole discretion, without restriction.
