1. Introduction

Welcome to ScholarOn.com. This Vendor Agreement (“Agreement”) outlines the terms and conditions that apply to you as a vendor on our platform. By signing up and using ScholarOn.com to sell your educational resources, you agree to comply with and be bound by the terms of this Agreement.

2. Original Content

As a vendor, you must only upload and sell original content. You are solely responsible for ensuring that your content does not infringe upon any copyrights, trademarks, or other intellectual property rights of third parties. ScholarOn.com is not liable for any issues arising out of the content you upload.

3. Content Approval and Removal

ScholarOn.com reserves the right to approve, host, or remove any content from our website at our sole discretion. We may remove content that violates our policies or is deemed inappropriate without prior notice.

4. Prohibition of External Links

No external links are allowed in any part of the document, its description, or on your profile page. This includes, but is not limited to, links to personal websites, social media pages, or other external resources.

5. Pricing and Payment Terms

Pricing: You can set the price for the documents you upload.

Revenue Share: You will receive 70% of the selling price for each document sold. The remaining 30% will be divided as follows: 20% platform fee and 10% processing charges.

Payment: Vendors can raise withdrawal requests at any time if they have a minimum balance of 100 USD in their account. The amount will be transferred once the request is approved.

Payment Methods: Payments will be made via PayPal or bank transfer according to your preference.

Refunds and Reversals: If there are any refunds or reversals, the corresponding amount will be deducted from your existing balance at any time.

6. Account Management

Account Information: Vendor accounts must be legitimate, reflecting accurate name and identity information. Offensive or spammy accounts will be deleted, and ScholarOn.com holds no liability for such deletions. Additionally, the information in the account must be genuine, including your identity. You cannot use a third-party account for bank transfers.

Account Deletion: You can request to delete your account by sending an email request to ScholarOn.com. Account deletion will be processed provided there are no pending dues from either party.

Content Management: You have the ability to add or remove documents at any time. Removing documents will not affect the downloads for students who have already purchased them prior to the takedown.

Duplicate Accounts: Creating duplicate accounts or posting the same document under multiple IDs is prohibited. Any violation may result in account banning.

7. Copyright Infringement and DMCA Compliance

Vendors must not post content that may infringe upon copyrights. ScholarOn.com adheres to the Digital Millennium Copyright Act (DMCA). If a copyright infringement claim is made, vendors may appeal once. Repeated infringers will be permanently banned from the platform.

8. Termination

ScholarOn.com may terminate this Agreement at any time without cause upon written notice to the Vendor. In the event of termination, all pending payments will be processed as per the terms outlined above.

9. Liability

ScholarOn.com is not responsible for any damages arising from the violation of this Agreement. Vendors are solely liable for the content they upload and any legal issues that may arise from it.

10. Amendments

ScholarOn.com reserves the right to amend this Agreement at any time. Notice of any changes will be provided to vendors, and continued use of the platform constitutes acceptance of the amended terms.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of [Applicable Jurisdiction], without regard to its conflict of law principles.
